1. Agreement to Terms

By accessing or using ShowdUp.com ("Service"), operated by ShowdUp Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

ShowdUp.com provides a scheduling and communication platform for individuals selling items through local marketplaces (such as Facebook Marketplace, OfferUp, Craigslist, and similar platforms). Our Service includes:

Booking link creation and management
Appointment scheduling for item pickups
SMS and email notifications and reminders
Phone number verification for buyers
Optional deposit collection through third-party payment processors

ShowdUp.com is not a marketplace itself. We do not buy, sell, or take possession of any items. We do not guarantee the completion of any transaction between sellers and buyers.

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using ShowdUp.com, you represent and warrant that you meet these requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may also delete your account at any time through your account settings.

4. Subscription and Payments

4.1 Subscription Plans

ShowdUp.com offers various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to change pricing with 30 days' notice.

4.2 Free Trial

New accounts may be eligible for a free trial period. At the end of the trial, you will be charged the applicable subscription fee unless you cancel before the trial ends.

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Deposit Payments

Non-Refundable Deposit Policy

By paying a deposit, you understand and agree that this deposit is non-refundable, except where required by law.

If you cancel, do not show up, or arrive outside the agreed pickup window, your deposit will not be returned.

5.1 What a Deposit Is

A deposit is a small payment used to reserve a pickup time and hold an item. Deposits reduce no-shows and ensure the seller can confidently hold the item for you. The deposit amount is set by the seller. Once paid, the deposit reserves your pickup time and the seller may stop offering that time to other buyers.

5.2 Non-Refundable Policy

Deposits are non-refundable if you:

Cancel your appointment
Do not show up for your scheduled pickup
Stop responding to the seller
Arrive outside the agreed pickup window
Change your mind about the item

Deposits are only refunded where required by applicable law.

5.3 When a Refund May Apply

A refund may apply only in limited situations, such as:

A refund is required by law, or
The seller cancels and is unable to complete the pickup as agreed

If a refund is issued, it will be processed back to the original payment method.

5.4 Platform Fee

ShowdUp.com charges a platform fee per deposit transaction. This fee is deducted from the deposit amount and is non-refundable.

5.5 Payment Processing Fees

Payment processing fees are charged by the payment provider and are separate from ShowdUp.com's platform fee. Processing fees are typically deducted from the amount routed to the seller and are non-refundable.

5.6 Deposit Application

When you successfully complete the transaction by appearing at your scheduled pickup and purchasing the item, your deposit will be applied toward the total purchase price. Sellers are responsible for properly crediting the deposit amount.

5.7 Seller Responsibility

ShowdUp.com facilitates scheduling and deposit handling, but the seller is responsible for:

Describing the item accurately
Completing the pickup arrangement
Ensuring buyer instructions are clear

5.8 Disputes and Chargebacks

If you file a chargeback or payment dispute, we may request details about the pickup arrangement and communications. Disputes are handled by the payment provider under their policies, and outcomes may vary.

5.9 Platform Role and Disclaimer

ShowdUp.com is a scheduling and deposit collection platform. We facilitate transactions but are not responsible for refunds between buyers and sellers. We do not hold, manage, or have control over deposit funds beyond processing. ShowdUp.com bears no liability for deposit transactions, disputes, or any issues arising between buyers and sellers.

5.10 Contact and Support

If you believe a deposit was charged in error or you have a legal-based refund request, contact support at support@showdup.com. Please include: booking ID, date/time, and the phone number used.

6. User Conduct

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Harass, abuse, or harm other users
Send spam, unsolicited messages, or fraudulent communications
Impersonate any person or entity
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Use the Service to sell illegal, counterfeit, or stolen goods
Collect personal information of other users without consent
Use automated means to access the Service without permission
Violate any third-party rights, including intellectual property rights

7. SMS and Email Communications

7.1 Consent to Communications

By using our Service, you consent to receive SMS messages and emails related to your account and appointments. Message and data rates may apply.

7.2 Buyer Communications

Buyers who book appointments through ShowdUp.com consent to receive appointment confirmations, reminders, and related communications via SMS and email.

7.3 Opt-Out

You may opt out of promotional communications at any time. However, transactional communications related to your account and active appointments cannot be opted out while using the Service.

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by ShowdUp Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating the Service.

9. Third-Party Services

Our Service integrates with third-party services for payment processing, messaging, authentication, and data storage. Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the practices, policies, or actions of third-party service providers. Any issues arising from third-party services should be directed to those providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy or completeness of any information provided through the Service. We do not guarantee that any transaction between sellers and buyers will be completed successfully.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWDUP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ShowdUp Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShowdUp Inc. regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
